RESOLUTION OF THE BOARD OF MANAGEMENT

(Re: Disclosure regarding the establishment of a subsidiary)

Article 1: To contribute capital to establish a subsidiary

1. Name of Company: SOUTHERN STAR URBAN DEVELOPMENT AND TRADING INVESTMENT JOINT STOCK COMPANY

2. Address of Headquarters: 72 Le Thanh Ton, Ben Nghe Ward, District 1, Ho Chi Minh City

3. Charter Capital: VND600,000,000,000 (in words: six hundred billion Vietnamese dongs)

4. Capital contribution:

Vingroup contributes VND414,000,000,000, accounting for 69% of the Charter Capital of Southern Star Urban Development and Trading Investment Joint Stock Company.

Article 2: Effective date

This Resolution takes effect from the date of signing.

The Executive Committee and related departments shall be responsible for implementation of this Resolution.
